Terms of use and service

These are the terms for using ytg.co.il and the YouTube channel management service we provide. The service is provided by Shivuknet – Artur Kalandarov, 67 Zalman Shazar St., Tel Aviv ("we"). Using the site, and engaging us for the service, means you accept these terms and our privacy policy.

1. Using the site

  • The information on the site presents the service. It is not a binding offer. An agreement is formed only after you receive a proposal from us and accept it.
  • Prices on the site are in shekels and exclude VAT. VAT is added at the statutory rate on the date of the invoice.
  • The pilot channel's results shown on the site are real data from one channel over a specific period. They do not promise similar results for another channel.
  • You may not use the site to send spam, try to break into it or disrupt it, or enter another person's details in the form without their permission.
  • The content, design and videos on the site belong to us or to their rights holders. Do not copy or use them without written permission.
  • YouTube is a trademark of Google LLC. Our service is independent and has no business relationship with Google, YouTube or the social networks. Platform names and marks belong to their owners.
  • The site links to third-party sites and services, such as WhatsApp. We do not control them, and their own terms apply.

2. What the service includes

You send us recordings, and we turn each recording into a ready YouTube video and 8 Shorts, write titles, descriptions, tags and chapters, make a thumbnail and cover images, and publish and schedule the content on up to 6 networks out of those you connected: YouTube (including Shorts), Instagram, TikTok, Facebook, LinkedIn and Google Business Profile. The exact scope of your plan is set out in the proposal you accepted. If the site and the proposal differ, the proposal prevails.

  • Approval before publishing: you can ask for every video and Short to reach you for approval before it goes live, or let us publish without prior approval. You can switch between the two at any time. If you chose publishing without prior approval, you agree that we publish in your name what we made from the recordings you sent.
  • Timing: turnaround times on the site, such as going live within 20 to 90 minutes, are estimates based on our experience, not commitments. They depend on the length and quality of the recording and on the platforms' availability.
  • Tools: we use software and AI tools to transcribe, analyse the recording and suggest titles and moments for Shorts. We review the output before publishing, but transcripts, captions or wording may contain mistakes. If you spot one, tell us and we will fix it.
  • Full video editing, reviving old videos and Shorts from the back catalog are additional services, priced on the site or in a separate quote.

3. Access to your accounts

  • To provide the service, you connect your YouTube channel and social media profiles to us through each platform's authorization mechanism (for example Google OAuth) or through our scheduling tool (such as Metricool). We never ask for or store passwords.
  • We use this access only to: upload videos and Shorts; update titles, descriptions, tags, chapters and thumbnails; organise playlists; publish and schedule posts; and read view and performance data for reports.
  • We will not change the ownership of the channel or accounts, add or remove managers, change monetization, payment or security settings, or delete existing content, unless you expressly ask us to.
  • If, during setup, we open a profile for you on a network where you don't have one yet, it is opened in your name and stays yours.
  • You can revoke access at any time: for your Google account on the security settings page, and for any other network in its own settings. After you revoke access we can no longer publish on that account, and the service there stops until you reconnect it. This does not end the agreement or the duty to pay under section 6.
  • The service uses the YouTube API Services. By engaging us you agree to be bound by the YouTube Terms of Service. Information processed by Google is subject to the Google Privacy Policy.

4. Your content and responsibility for it

  • You confirm that you hold all the rights and consents needed for us to use and publish the recordings: copyright in the content, music and clips that appear in them, and the consent of everyone seen or heard in them, including interviewees.
  • You are responsible for the content of the recordings and what is said in them. Do not send content that infringes others' rights, invades privacy, is defamatory or inciting, or breaks the law or the rules of YouTube and the social networks.
  • If content seems unlawful to us or risky for your accounts, we may decline to publish it. If that happens, we will let you know.
  • If a claim or demand is made against us because of content you gave us, or because you breached these terms, you will indemnify us for the damage and reasonable costs, after we notify you of the demand and let you defend against it.

5. Rights in the work

  • Your channel, accounts and recordings remain yours.
  • Once you have paid for them, the rights in the work we made for you (edited videos, Shorts, thumbnails, cover images and texts) pass to you. Our templates, tools and know-how remain ours. Third-party elements, such as licensed fonts or music, are subject to their own licences.
  • Everything published stays on your channel and accounts after the service ends.
  • We will show the work we did for you, your channel's name or its data as an example on our site or in our advertising only if you agreed to that in advance.

6. Prices, payment, commitment and cancellation

  • Single recording, no subscription: ₪99 per recording.
  • Monthly plans: 4 recordings a month for ₪349; 8 recordings a month for ₪590; 16 recordings a month for ₪990. Recordings included in a plan are counted per calendar month. A recording not used in a month carries over to the next month, and expires if it is not used then either.
  • One-time setup fee: ₪490, with either type of agreement. The setup fee is refunded in full if you cancel before we start work, and is not refunded once work has started.
  • Prices exclude VAT. Payment method and billing date: by credit card or bank transfer, charged monthly in advance. You receive an invoice for every payment.

There are two ways to work with us:

  • Month to month: full price, no fixed term. You can stop by written notice (email or WhatsApp) before the next month begins. The service continues to the end of the paid month, and you are not charged for the months after it.
  • 12-month agreement: 50% off the monthly price for the first two months (for example ₪295 instead of ₪590 a month on the 8-recording plan), then full price from the third month. The discount is given in return for committing to the whole term. Cancelling before the 12 months end: you give us 30 days’ notice and pay back the discount you received in the first two months. In any case we will not charge more than the law allows.

If you are a consumer under the Consumer Protection Law, 5741-1981, you also have the cancellation rights in that law, and nothing in these terms limits them. Ending the agreement does not delete what has already been published on your accounts.

7. Ending the service on our side

We may suspend or end the service if a payment that is due has not been made, if content breaches section 4, or if continuing could harm your accounts or us. Before doing so we will notify you in writing and give you a chance to fix the issue, unless we must stop at once. If we end the service without any breach on your part, we will refund the proportional part you paid for the period in which you received no service.

8. No guaranteed results, and limitation of liability

  • We undertake to work professionally and at the agreed pace. We do not guarantee any number of views, subscribers, customers, revenue or search ranking, because these depend on the content, the audience and the platforms' algorithms, which are outside our control.
  • We are not responsible for the actions of YouTube, the social networks or the scheduling tool, such as algorithm changes, content removal, account restrictions, strikes, demonetization, outages or the end of a service, unless they were caused by our breach.
  • We are not liable for indirect or consequential loss, such as loss of profit, revenue or goodwill.
  • Our total liability in connection with the service is limited to the amount you paid us in the 3 months before the event.
  • These limits do not apply to damage we caused intentionally or through gross negligence, or to the extent the law forbids limiting liability.

9. General

  • We may update these terms. The current version will always be on this page. A material change that applies to existing clients takes effect only 30 days after we notify you of it, and if you don't accept it, you may stop the service before then without penalty.
  • These terms are governed by the laws of the State of Israel, and the competent courts in Tel Aviv have exclusive jurisdiction.
